Terms of Service

Welcome to Proreerfolio. Proreerfolio ("Proreerfolio", "we", "us") is an independently operated service that helps you build a professional career portfolio and use AI-assisted tools to generate career documents such as resumes and cover letters. These Terms of Service ("Terms") are a binding agreement between you and the individual owner who operates Proreerfolio, and govern your use of the website, apps, and services (together, the "Service"). By creating an account, checking the acceptance box at sign-up, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. The Service

Proreerfolio lets you build a portfolio of your professional experiences, skills, and accomplishments, optionally publish a public profile page, and run AI-powered workflows that generate drafts of resumes, cover letters, job-match evaluations, company research, and similar career documents from your portfolio. The Service is a software tool. It is not a recruiting, staffing, career-counseling, or legal service, and nothing produced by the Service is professional advice.

You retain full ownership of everything you upload or create in the Service — your resumes, portfolio entries, and the documents the Service generates from your content ("Your Content"). We claim no ownership of Your Content.

So that we can operate the Service, you grant us a limited, non-exclusive, worldwide license to host, store, process, reproduce, and display Your Content solely to provide and improve the Service to you, and — only where you turn the features on — to display your public profile page and answer visitor questions through your public Q&A agent. This license ends when you delete the relevant content or your account, except for residual copies in routine backups that are purged on schedule.

Feedback. If you send us suggestions, ideas, or other feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use it for any purpose — including improving the Service — without obligation or compensation to you. Feedback is not Your Content.

4. Permission to process uploaded content

By uploading content, you give us permission to process it as needed to provide the Service — including parsing your documents and sending relevant portions of your portfolio to the third-party AI model providers we use to generate results. We do not use Your Content to train AI models. The third-party AI providers that process your content operate under their own terms and policies, and may log the content submitted to them or use it to improve their models, as those policies describe. Only upload content you have the right to share and are comfortable being processed this way: do not upload documents containing other people's personal or confidential information without their permission.

5. Publishing a public profile page

The public profile page and the public Q&A agent are optional features, both disabled by default and controlled from the Publishable Site page in the app. By enabling either, you instruct us to publish the portfolio content you have marked visible to the general public, and you represent and warrant that you have the right to publish it — including any third-party names, employer information, or confidential material it describes.

To improve the Service, we may use the content you choose to publish — with direct identifiers such as your name and contact details removed — to analyze how our features and workflows perform and to make the product experience better for everyone. This is internal product improvement only; consistent with Section 4, we do not use it to train AI models.

You acknowledge and agree that publication makes that content accessible to anyone holding the link without authentication; that it may be indexed, cached, archived, scraped, republished, and used to train machine-learning models by parties we neither control nor can compel; and that publication is irreversible. Disabling the page, editing your portfolio, or deleting your account stops us from serving the content but does not retrieve or delete copies already made by others. You assume that risk in full. To the maximum extent permitted by law, we are not liable for any consequence of content you elected to publish, including its indexing, reuse, disclosure, or persistence after you disable the feature; Section 16 (Limitation of liability) governs any such claim. Section 4 of the Privacy Policy describes the privacy consequences of publication in detail.

All payments are final and non-refundable, except where a refund is required by applicable law. We do not provide refunds or credits for partial billing cycles, unused cycle credits, unused backup credits, or periods when you did not use the Service. Instead of refunds, you can cancel at any time and keep what you paid for through the end of the current billing cycle. This refund policy is disclosed at checkout before any purchase.

We provide a software service, not a guarantee of uninterrupted availability. The Service may be unavailable due to maintenance, updates, failures of third-party providers (hosting, AI models, authentication), or other causes. Features may change, improve, or be discontinued. We recommend keeping your own copies of documents that matter to you.

12. Our intellectual property

The Service itself — its software, design, and the Proreerfolio name and branding — belongs to us and our licensors. These Terms do not grant you any rights in it other than the right to use the Service as intended.

13. Third-party services

The Service relies on third-party providers — for example cloud hosting, authentication, AI model providers, and (for paid plans) a payment processor. Your payment details are handled by the payment processor, not stored by us. These providers process data as described in our Privacy Policy.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE OR AI-GENERATED CONTENT WILL BE ACCURATE, ERROR-FREE, OR UNINTERRUPTED.

16. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST OPPORTUNITIES (INCLUDING EMPLOYMENT OPPORTUNITIES), OR LOST DATA; AND (b) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF FIFTY U.S. DOLLARS (US$50) OR THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE.

Some jurisdictions do not allow certain warranty disclaimers or liability limits, so parts of Sections 15–16 may not apply to you. Nothing in these Terms limits rights you have under California consumer law that cannot be waived.

You will defend and hold us harmless from claims arising out of Your Content or your violation of these Terms — for example, a claim that a document you uploaded infringes someone else's rights.

18. Changes to these Terms

We may update these Terms as the Service evolves. If a change is material, we will notify you (for example by email or an in-app notice) before it takes effect. The "Effective date" above always reflects the current version. Continuing to use the Service after a change takes effect means you accept the updated Terms.

19. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Before filing any claim, you agree to first send us a written notice at the contact address in Section 20 describing the dispute and the relief you seek, and to work with us in good faith for 45 days to try to resolve the issue informally. Any dispute that cannot be resolved informally will be brought in the state or federal courts located in San Diego County, California, and you consent to their jurisdiction. Nothing in this section prevents either party from using small-claims court, or limits rights you may have to bring claims in your local courts where California consumer law provides that right.

Questions about these Terms: support@proreerfolio.com. Proreerfolio is independently operated from California by its owner. For paid purchases, the seller's legal name and mailing address are provided at checkout, as California law requires.

Electronic communications. By using the Service you consent to receive communications from us electronically — at your account email or through in-app notices — and agree that these electronic communications satisfy any legal requirement that a communication be in writing.

Notice to California users (Cal. Civ. Code § 1789.3): the Service is provided by the individual owner identified at checkout.
